Terms of service
Plain terms for small engagements. A signed statement of work overrides anything here for that engagement.
Who is contracting
Services are provided by Dmitrii Branitskii, sole trader, Lisbon, Portugal (VAT 324565704), trading as Stays Up. Clients are businesses; we do not sell to consumers.
What you buy
- Audits are fixed-price, fixed-scope pieces of work, described on the pricing page and confirmed in writing before payment. The deliverable is a written report with findings, reproductions and the checks or queries used. The report is yours to keep and use.
- Project work beyond an audit is scoped and quoted as a fixed price in writing before it starts. We do not exceed a quote without your written agreement.
Payment
Audits are invoiced when the report is delivered, due within fourteen days. Project work is invoiced on the milestones set out in the quote. Prices exclude VAT. EU business customers are invoiced under the reverse-charge rules. Bank transfer or card; USDC by arrangement.
Access and data
You grant the minimum access needed, read-only where possible, and may revoke it at any time. How we handle what we receive is on the trace handling page and forms part of these terms.
What we are responsible for
We deliver the work described with reasonable skill and care. Findings are our professional opinion based on what we could see; you decide what to act on. Our total liability for an engagement is limited to the fees paid for it, and we are not liable for indirect loss, lost profit or downtime. Nothing here limits liability that cannot be limited by law.
Confidentiality
Everything we learn about your systems is confidential. We publish nothing about a client without written permission. We may say that we worked for you only with your agreement.
Stopping
Project work can be stopped by either side with notice in writing; you pay for the milestones delivered to that point. A booked audit can be cancelled before access is granted at no cost; once work has started, the fee is due and you receive whatever has been produced.
Law
Portuguese law applies; disputes go to the courts of Lisbon. If a clause is found invalid, the rest stands.
